1. Acceptance of Terms
By accessing or using the EverAdmin platform, website, and related services (collectively, the "Service"), operated by EverAdmin, Inc. ("EverAdmin," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
EverAdmin is an operational compliance platform that enables organizations to track, manage, and verify certifications, licenses, insurance policies, and regulatory documents for employees, contractors, vendors, facilities, and equipment. The Service includes dashboards, automated reminders, document storage, compliance sharing features ("Projects"), and reporting tools.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. EverAdmin will not be liable for any loss arising from unauthorized access to your account.
4. License and Use Rights
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include the right to sublicense, resell, distribute, or make the Service available to any third party, except as expressly permitted through the Service's sharing and collaboration features.
5. Prohibited Conduct
You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service;
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
- Upload or transmit any malicious code, viruses, or harmful data;
- Interfere with or disrupt the integrity or performance of the Service;
- Attempt to gain unauthorized access to the Service or its related systems;
- Scrape, crawl, or use automated means to access the Service without our prior written consent;
- Misrepresent your identity or affiliation with any person or entity.
6. Customer Data
You retain all rights to the data you upload to the Service ("Customer Data"). You grant EverAdmin a limited license to host, store, process, and display Customer Data solely to provide the Service to you. We will not access, use, or share your Customer Data for any purpose other than providing and improving the Service, except as required by law.
7. Compliance Sharing (Projects)
The Service allows you to share compliance data with third parties through "Upstream Projects" (read-only sharing with clients or principals) and "Downstream Projects" (document requests to subcontractors or vendors). You are solely responsible for determining what data you share and with whom. EverAdmin does not guarantee the accuracy, completeness, or validity of any compliance data shared through the Service.
8. Fees and Payment
During the beta period, the Service is available at no charge. When paid plans are introduced, we will provide at least 30 days' advance notice of pricing and billing terms. Continued use of the Service after the introduction of fees constitutes acceptance of the applicable pricing. All fees are non-refundable except as expressly stated otherwise.
9. Intellectual Property
The Service, including its design, code, features, documentation, and all related intellectual property, is owned by EverAdmin, Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited license set forth in Section 4.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EVERADMIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, REGULATORY, OR COMPLIANCE ADVICE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERADMIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL EVERADMIN'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO EVERADMIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify, defend, and hold harmless EverAdmin and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Term and Termination
These Terms remain in effect until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for a period of 30 days following termination, after which it may be deleted.
14. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wilmington, Delaware. You agree to waive any right to a jury trial or to participate in a class action.
